UK Stewardship Code

Under Rule 2.2.3R of the FCA's Conduct of Business Sourcebook, AgFe LLP is required to include on this website a disclosure about the nature of its commitment to the UK Financial Reporting Council's Stewardship Code (the "Code") or, where it does not commit to the Code, its alternative investment strategy.

The Code has the following twelve principles: (i) Signatories' purpose, investment beliefs, strategy, and culture enable stewardship that creates long term value for clients and beneficiaries leading to sustainable benefits for the economy, the environment and society; (ii) Signatories' governance, resources and incentives support stewardship; (iii) Signatories manage conflicts of interest to put the best interests of clients and beneficiaries first; (iv) Signatories identify and respond to market-wide and systemic risks to promote a well-functioning financial system; (v) Signatories review their policies, assure their processes and assess the effectiveness of their activities; (vi) Signatories take account of client and beneficiary needs and communicate the activities and outcomes of their stewardship and investment to them; (vii) Signatories systematically integrate stewardship and investment, including material environmental, social and governance issues, and climate change, to fulfil their responsibilities; (viii) Signatories monitor and hold to account managers and/or service providers; (ix) Signatories engage with issuers to maintain or enhance the value of assets; (x) Signatories, where necessary, participate in collaborative engagement to influence issuers; (xi) Signatories, where necessary, escalate stewardship activities to influence issuers; (xii) Signatories actively exercise their rights and responsibilities.

AgFe LLP invests in one strategy: commercial real estate loans. Whilst AgFe LLP supports the general objectives that underlie the Code, the provisions of the Code are not directly relevant to the type of activity currently undertaken by AgFe LLP.

Regulatory Disclosure 

The MIFIDPRU 8 disclosure of AgFe LLP and the AgFe Group (the “Group”) is set out below.  The Group will update this regulatory disclosure annually as at the Group’s accounting reference date.  The Group is subject to FCA rules on remuneration and its Remuneration Policy covers an individual’s total remuneration, fixed and variable. The Group incentivises staff through a combination of the two.

AgFe LLP’s business is to provide advisory and asset management services to its clients.  Other members of the AgFe Group provide services to AgFe LLP to help it with those client services.  The Group’s Remuneration Policy is designed to ensure that it complies with FCA requirements and its compensation arrangements: (i) are consistent with and promote sound and effective risk management; (ii) do not encourage excessive risk taking or risk taking which is inconsistent with the risk profiles of its client engagements; (iii) include measures to avoid conflicts of interest; and (iv) are in line with the Group’s business strategy, objectives, values, and long-term interests. The Group’s Management Committee is responsible for the Group’s Remuneration Policy.

During the financial year ended 31 March 2023 the average number of Group staff for which this disclosure is required totalled 25 and the aggregate remuneration awarded to the Group’s staff was £7,064,921, of which £3,798,043 was fixed remuneration and £3,266,878 was variable remuneration.
